The court agreed that plaintiffs‘ demand on the board under Delaware law undermined their claim of demand futility, dismissing the case without leave to amend.
  • Represent Vikram Luthar, former CFO of Archer Daniels Midland, in federal securities and derivative lawsuits alleging false statements and accounting fraud related to ADM’s Nutrition segment. Plaintiffs claim these actions led to a 25% stock price drop, erasing over $8bn in market value and harming investors.
